Transposition Status
In ProgressSpain is in the process of transposing AIFMD II via amendments to Ley 22/2014 on investment entities. CNMV has published draft guidance but final rules are expected by mid-2026. Transitional provisions allow firms to begin filing under the new format from Q2 2026.

For large AIFMs — note Spain allows 45 days vs. the 30-day ESMA recommendation
For mid-sized AIFMs — extended compared to ESMA guidance

Extended filing deadlines
CNMV grants 15 additional days compared to ESMA's base deadlines for all reporting frequencies. This is a deliberate national choice to reduce filing pressure on Spanish AIFMs.
Digital certificate requirement (FNMT)
All filings must be signed with a Spanish FNMT digital certificate or eIDAS-qualified certificate. Standard SSL/TLS certificates are not accepted for authentication.
Dual submission: CNMV + Banco de España
Certain macroprudential data points must be filed separately with the Banco de España in addition to the main CNMV Annex IV filing. This creates a dual-submission requirement unique to Spain.
Spanish-language narratives required
Like France, CNMV requires Spanish-language risk descriptions and fund narratives. However, CNMV also requires Spanish translation of the full investment strategy description.
ISIN mandatory for all Spanish-domiciled funds
CNMV requires ISIN codes (not just LEIs) for all domestically domiciled funds. Cross-referencing between ISIN and LEI must be demonstrable in the filing.
Late transposition transitional rules
During the transitional period (until final transposition), CNMV accepts filings in either the old AIFMD I format or the new AIFMD II format. Dual-format acceptance creates additional validation complexity.
