The French Regulatory Landscape

The AMF has been one of the more proactive European regulators in implementing AIFMD requirements. France transposed the original AIFMD through amendments to the Code monétaire et financier (CMF) and the Règlement général de l'AMF. The AIFMD II transposition is expected to follow a similar path, with additional attention to:

• Delegation oversight — the AMF has historically taken a stricter view on delegation arrangements than some other NCAs, requiring detailed documentation and regular review
• Loan origination rules — France already had a framework for loan funds (fonds de prêts à l'économie), and AIFMD II's harmonized rules will need to be reconciled with existing French requirements

What the AMF Filing Agent Will Do

• Expanded Annex IV reporting — new data fields for delegation arrangements, loan origination activities, and liquidity management tools, consistent with ESMA's revised reporting templates
• Stricter delegation rules — enhanced substance requirements for French-authorized AIFMs delegating portfolio management to non-EU entities
• Loan origination harmonization — alignment of France's existing fonds de prêts framework with the new EU-wide loan origination rules, including leverage limits and risk retention requirements
• Depositary passport considerations — while AIFMD II does not introduce a full depositary passport, it expands cross-border depositary provisions that will affect French-domiciled funds
